NV Digital Terms of Service

Welcome to NV Digital (“we”, “us”, “our”). By using our website and services—including digital marketing, SEO, web development, and maintenance—you agree to these Terms of Service. Please read them carefully.

Definitions

• Services: The digital marketing, SEO, website development, hosting, and related services offered by NV Digital.

• Client: Any person or entity using our Services.

• Deliverables: The outputs produced under the Services, as specified in a quote or agreement.

Scope & Performance

We deliver services with professional care, in compliance with applicable laws, and according to agreed timelines. The Client agrees to provide timely instructions, access, and materials necessary for service delivery.

Fees & Payment

Our services are billed per agreed quotations or statements of work. Unless stated otherwise, all fees exclude applicable taxes. Invoices are payable within 30 days. Late payments may incur interest or suspension of services.

Intellectual Property

Pre-existing IP remains with the original owner. We grant the Client a perpetual, non-exclusive license to use deliverables. We remain the owner of any newly created IP unless otherwise agreed. Clients warrant they own or have rights to content provided to us—otherwise, they indemnify us against claims.

Confidentiality

Both parties agree to maintain confidentiality over shared information and use it solely to deliver the Services.

Liability

We are not liable for indirect or consequential loss. For direct losses, liability is capped at the total fees paid in the last 12 months, except in cases of gross negligence or willful misconduct.

Termination

Either party may terminate services with advance notice if the other breaches material terms. Upon termination, both parties promptly return confidential materials.

Governing Law

These Terms are governed by the laws applicable to NV Digital’s jurisdiction (India) and subject to its courts.

Changes to Terms

We reserve the right to update these Terms. Continued use of our services constitutes acceptance of updates.
